These Terms & Conditions ("Terms") govern your access to and use of the Varellium website, the Varellium Books rare-book intelligence desk, dashboards, email alerts, paid subscriptions, free alerts, market commentary, content, tools, reports, data, analysis, and related digital services (collectively, the "Service").
By accessing or using Varellium, including the website, dashboard, email alerts, paid subscriptions, free alerts, market commentary, or related services, you agree to these Terms & Conditions. If you do not agree, do not use the Service.
1. Business Information
Varellium is owned and operated by Matthew Childs as a sole owner business. Throughout these Terms & Conditions, references to "Varellium," "Varellium Books," "we," "us," or "our" refer to Matthew Childs operating the Varellium website, Varellium Books products, services, email alerts, dashboards, and related digital services.
Varellium provides subscription access to software, alerts, dashboards, research content, and data-driven analysis related to rare books, antiquarian books, collectible books, used books, online listings, market observations, pricing signals, and potential sourcing opportunities.
Varellium may highlight listings that appear potentially undervalued based on available information, marketplace data, comparable sales, condition signals, edition details, scarcity indicators, and other factors. This analysis is provided for informational and educational purposes only.
Varellium and Varellium Books do not sell the third-party listings featured on the site unless expressly stated. Listings may be hosted by independent marketplaces, sellers, auction platforms, or other third parties. We do not process purchases between users and third-party sellers, we do not operate an auction or marketplace checkout, and we do not provide regulated financial advice.
2. Use of the Website and Services
You may use Varellium only for lawful personal or business research purposes and only in a way that does not interfere with the security, availability, or normal operation of the Service.
3. Informational Purposes Only
Varellium provides curated rare book, antiquarian book, collectible book, and market opportunity information for educational and informational purposes only. We do not provide financial, investment, legal, tax, appraisal, or professional collecting advice. Any purchase, bid, resale decision, or investment decision is made entirely at your own risk.
4. No Guarantee of Profit or Availability
Varellium may highlight listings, auction lots, market opportunities, estimated values, comparable sales, price discrepancies, or potential resale opportunities. We do not guarantee that any listed item is authentic, available, profitable, accurately priced, underpriced, resaleable, or suitable for purchase. Listings may sell, change price, be removed, contain errors, or become unavailable at any time.
Any estimated value, resale range, profit estimate, return estimate, sell-through estimate, or opportunity rating is only an opinion or analytical estimate based on available information at the time of publication. Actual results may differ materially.
You are solely responsible for your own purchasing, bidding, selling, pricing, shipping, tax, storage, restoration, authentication, and resale decisions.
5. Paid Subscriptions
If Varellium offers paid subscriptions, paid reports, premium alerts, memberships, dashboard access, or other paid features, the applicable price, billing interval, renewal terms, cancellation rules, and access rights will be disclosed at checkout or on the relevant pricing page.
IMPORTANT - AUTOMATIC RENEWAL: Paid subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. You are responsible for cancelling before renewal to avoid future charges.
By starting a paid subscription, you affirmatively agree to the Terms & Conditions, Subscription Terms, Refund Policy, and Disclaimer presented before checkout. Varellium stores acceptance evidence, checkout context, and related support records for billing, dispute, fraud-prevention, and chargeback-response purposes.
Payment processing is handled by Paddle, acting as authorized reseller and Merchant of Record. Paddle processes your payment, issues receipts, handles tax collection where applicable, and manages subscription billing and buyer-side billing support. By completing checkout, you also agree to Paddle's applicable terms and policies. Varellium does not store full payment card details.
6. Free Email Alerts
Free alerts, free previews, and free email brief access may be delayed, limited, partial, or changed over time. You may unsubscribe from marketing emails using the unsubscribe link in those emails.
7. Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms & Conditions by reference. Paid subscriptions are digital services billed in advance for the selected access period. Cancellation stops future renewal charges but does not automatically refund the current billing period.
Except where required by law or where we confirm a duplicate charge, billing error, or qualifying first-purchase refund request under the Refund Policy, renewal charges are non-refundable.
8. Account Access
Some features may require an account, email subscription, paid subscription, or authenticated access. You agree to provide accurate information and to maintain the security of your account credentials.
You are responsible for all activity under your account.
Varellium may suspend, restrict, or terminate access if we believe you have violated these Terms, misused the Service, abused automated systems, attempted unauthorized access, scraped protected content, shared paid content improperly, or created risk for the Service or other users.
9. User Responsibilities
You agree that you are solely responsible for:
- evaluating listings before buying
- verifying seller reputation
- checking edition, printing, issue points, collation, condition, completeness, provenance, and authenticity
- understanding marketplace rules
- calculating fees, taxes, shipping, storage, restoration, and resale costs
- complying with laws and marketplace policies
- deciding whether an item is suitable for your own goals
You use the Service at your own risk.
10. Third-Party Marketplaces
Varellium may link to third-party websites, marketplaces, auction platforms, seller pages, or external resources. We do not own or control those third-party platforms and are not responsible for their listings, descriptions, prices, condition reports, authenticity claims, shipping, returns, seller conduct, or transaction outcomes.
Varellium may reference listings, prices, images, seller descriptions, auction estimates, sold prices, marketplace data, or other third-party information. Such information may be inaccurate, incomplete, outdated, changed, removed, or unavailable by the time you view it.
Varellium is not responsible for:
- inaccurate seller descriptions
- fake or misleading listings
- undisclosed condition issues
- missing pages, plates, maps, bindings, dust jackets, signatures, provenance, or other features
- marketplace errors
- auction house errors
- payment disputes
- shipping damage
- customs delays
- authentication disputes
- restoration outcomes
- resale underperformance
You must independently verify all listing details before purchasing or bidding.
11. Intellectual Property
All content created by Varellium, including analysis, text, scoring methods, reports, branding, logos, design, page layouts, graphics, data organization, summaries, email formats, and proprietary workflows, is owned by or licensed to Varellium.
You may not copy, scrape, reproduce, redistribute, resell, republish, mirror, or commercially exploit Varellium content without written permission.
Limited personal use is permitted for your own private research and decision-making.
12. Limitation of Liability
To the fullest extent permitted by law, Varellium and its owner, operators, employees, contractors, affiliates, service providers, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or economic damages, including lost profits, lost revenue, lost opportunity, data loss, business interruption, reputational harm, or losses arising from purchases, bids, resale attempts, listing errors, marketplace disputes, or reliance on Varellium content.
Your use of the Service is at your own risk.
13. Changes to the Service
Varellium aims to provide useful and timely information, but we do not warrant that the Service will be accurate, complete, uninterrupted, secure, current, error-free, or available at all times.
The Service may be modified, paused, discontinued, or limited at any time without notice.
14. Termination
Varellium may suspend or terminate access immediately in cases of fraud, abuse, chargebacks, policy violations, unauthorized access attempts, scraping, or misuse.
15. Email Communications
By subscribing to Varellium emails, you agree to receive emails such as deal alerts, market commentary, product updates, promotional messages, and account-related communications.
You may unsubscribe from marketing emails using the unsubscribe link included in those emails. Some transactional or account-related messages may still be sent where necessary.
16. Prohibited Uses
You agree not to:
- use the Service for unlawful purposes
- interfere with website security or performance
- scrape, crawl, or extract data without permission
- reverse engineer scoring systems or internal workflows
- share paid content publicly or with non-subscribers
- redistribute subscription content commercially or resell access to it
- use bots to abuse signup forms, comments, or APIs
- impersonate another person or entity
- submit false, misleading, or harmful information
- attempt unauthorized access to accounts, databases, servers, or systems
- use the Service in a way that violates third-party marketplace terms or enables fraud, spam, or abusive automation
17. Affiliate Links and Commercial Relationships
Some links may be affiliate links, sponsored links, referral links, or commercial partner links. If you click those links or make a purchase, Varellium may receive compensation at no additional cost to you.

18. Indemnification
You agree to defend, indemnify, and hold harmless Varellium and its owners, operators, employees, contractors, affiliates, service providers, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from your use of the Service, your violation of these Terms, your violation of law, your marketplace activity, your transactions, or your misuse of Varellium content.
19. Changes to the Terms
Varellium may update these Terms from time to time. The "Last updated" date will indicate the latest version. Continued use of the Service after changes are posted means you accept the updated Terms.
For material changes that affect paid subscribers, Varellium will make reasonable efforts to notify subscribers via email before the changes take effect.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of Colorado, United States, without regard to conflict of law principles, unless another jurisdiction is required by applicable law.
For disputes arising from these Terms or the Service, you agree to first contact Varellium at legal@varellium.com and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may pursue resolution through binding arbitration or the courts of Colorado, United States, as permitted by applicable law.
To the fullest extent permitted by law, you waive your right to participate in class action lawsuits or class-wide arbitration related to these Terms or the Service.
Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction for matters involving intellectual property infringement, misuse, or unauthorized access.
21. Severability and Entire Agreement
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy, Disclaimer, Refund Policy, and any disclosures incorporated by reference, constitute the entire agreement between you and Varellium regarding the Service, and supersede all prior agreements or understandings.
